Throughout this Policy, the Grux website, and the other services offered by Grux, may be referred to as “Services” or “Platform.” Our Privacy Policy was developed as an extension of our commitment to combine quality products and services with integrity in dealing with our customers. The Policy is designed to assist you in understanding how we collect, use and safeguard the personal information you provide to us and to assist you in making informed decisions when using our website and our products and services. We have developed the following Privacy Policy for your protection. Security policies are in place to protect the confidentiality of your data and we use encryption to protect your information when appropriate.

What is Personal Information?

Personal information is any piece of information about an identifiable individual. Personal information does include the name, title, business address, or business telephone number of an employee of an organization (“Personal Information”). The terms “Grux”, “we”, “us” and “our” means Grux, LLC. “You” and “Your” means the individual who is a customer by virtue of viewing our materials or using our online services.

What Information is Collected?

‍We collect different kinds of information from our website:

Your voluntarily provided Personal Information through forms and other means throughout the Platform;

● Payment and billing information when You register for Grux's paid Services;

● Details of transactions You carry out through the Grux platform;

● Your search queries throughout the Platform;

● Anonymous information about your visit;

● "Cookie" based information to help us track which pages on our websites You're most interested in.

1) Your Personal Information:

During normal website usage, you can visit our site without communicating any personal information. However, to make use of certain features on our site, such as purchasing products, advertisements, promotions, personalized services, paid subscriptions or newsletters, users may be asked to register with us. As part of this voluntary registration, we may request contact information (such as name, mailing address, physical address, date of birth, social security number, bank account, email address, etc.) and other data required for operating these services. We may only collect personal information from you if you voluntarily provide it. You are under no obligation to provide us with personal information, and You may access and enjoy many parts of our website without providing us any personal information. Among other things, the following is a representative list of reasons we may ask for your personal information:

● To run promotions.

● To respond to your questions or the comments that you send to us via, but not limited to, email.

● To provide you with newsletters or other subscription information.

● To distribute to sponsors and advertisers who run the promotions and/or for purposes of marketing by our sponsors and advertisers.

2) Anonymous Information About Your Visit:

When you visit our site, information about your visit (e.g. how you navigate the site) may be collected and stored. This information may include the length of your visit, the date and time of your visit, the pages you look at and the sites you visit before and after leaving our site. It does not include personally identifiable information such as your name, mailing or email address or telephone number. We use this non-identifiable and aggregate information to better design our website. We also may share this information with our affiliates, suppliers, sponsors and advertisers. We collect the following non-identifiable information when you visit our website:

3) "Cookie"-Based Information:

To tailor our site to the needs and interests of our visitors, we keep track of the pages visited by our users by placing a small entry-in text file, called a "cookie", on your hard drive. A cookie is transferred to your browser by a web server and can only be read by the server that gave it to you. Cookies do not reveal personal information. The only personal information a cookie can contain is information you supply yourself such as passwords, purchases and preferences. Cookies cannot read data from your hard drive. You may visit the site with your cookies turned off. However, you may not be able to access some of the areas of our site, which require cookies for customization and personalization.

4) Grux Services:

(a) Information Grux or Grux Services May Share. In order for Grux to provide Grux Services, you permit Grux or Grux Services to disclose to apps and websites that you have set up Grux and Grux Services, and to share your device, payment, location, and account information with your payment method's issuer and network. You also permit Grux and Grux Services to share your personal information with merchants, payment providers, payment processors, and other third parties.

(b) Information Grux or Grux Services May Collect. As permitted in our privacy policies, and in order for Grux or Grux Services to provide and improve its services, you permit Grux and Grux Services to collect transaction, account, and other personal information from third parties, including merchants and your payment method's issuer.

(c) Grux's use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements

How Do We Use The Information Collected?

(1) We use information that we collect about You or that You provide to use, including any personal information in the following ways:

(a) To present our Services and its contents to You.

(b) To provide You with information, products, or services that You request from us.

( c) To market, promote and drive engagement with the Services. We use your contact information and information about how you use the Services to send promotional communications that may be of specific interest to you, including by email and by displaying ads on other companies' websites and applications, as well as on platforms like Facebook and Google.

(d) To fulfill any other purpose for which You provide it.

(e) To provide You with notices about Your account.

(f) To protect our legitimate business interests.

(g) For safety and security, e.g. to verify accounts.

(h) To carry out our obligations and enforce our rights arising from any contracts entered into between You and us, including for billing and collection.

(i) To notify You about changes to our Services or any products or services We offer or provide though it.

(j) To allow You to participate in interactive features of our Services.

(k) In any other way We may describe when You provide the information.

(l) For any other purpose with Your consent.

(2) We may use the information we have collected from You to enable us to display advertisements to our advertisers' target audiences. Even though we do not disclose Your personal information for these purposes without Your consent, if You click on or otherwise interact with an advertisement, the advertiser may assume that You meet its target criteria.

Information About You We Share

(1) We share information with third parties that help us operate, provide, improve, integrate, customize, support and market our Service.

(2) We may disclose aggregated information about our users, and information that does not identify any individual, without restriction.

(3) We share information we collect with affiliated companies and, in some cases, with prospective affiliates. Affiliated companies are companies owned or operated by Us. The protections of this privacy policy apply to the information we share in these circumstances.

(4) We may disclose personal information that We collect or You provide as described in this privacy policy:

(a) To contractors, service providers, and other third-parties We use to support our business.

(b) Service Providers: We work with third-party service providers to provide website and application development, hosting, maintenance, backup, storage, virtual infrastructure, payment processing, analysis and other services for us, which may require them to access or use information about You. If a service provider needs to access information about You to perform services on our behalf, they do so under close instruction from us.

( c) Partners: We work with third parties who provide consulting, sales, and technical services to deliver and implement customer solutions around the Services. We may share Your information with these third parties in connection with their services, such as to assist with billing and collections, to provide localized support, and to provide customizations. We may also share information with these third parties where You have agreed to that sharing.

(d) Third Party Apps: You may choose to add a new functionality or change the behavior of the Services by installing third party apps within the Services. Doing so may give third-party apps access to Your account and information about You like your name and email address, and any content You choose to use in connection with those apps. We encourage You to review the privacy policies of third parties before connecting to or using their applications or services to learn more about their privacy and information handling practices. If You object to information about you being shared with these third parties, please uninstall the app.

(e) To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of the Company's assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by the Company about our users is among the assets transferred.

(f) To fulfill the purpose for which You provide it.

(5) We may also disclose Your personal information:

(a) To comply with any court order, law, or legal process, including to respond to any government or regulatory request.

(b) To enforce or apply our terms of use and other agreements, including for billing and collection purposes.

( c) If We believe disclosure is necessary or appropriate to protect the rights, property, or safety of the Company, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.

Children under the age of 13

‍This Platform is not intended for children under the age of 18. In addition, no one under age 13 may provide any information to the Services. We do not knowingly collect personal information from children under 13. If You are under 13, do not: (i) use the Services; (ii) provide any information to the Services; (iii) use any features of the Services; (iv) make any purchases using the Services; (v) use any of the interactive or public comment features of the Services; or (vi) provide any information about Yourself to us, including Your name, address, telephone number, email address, or any screen name or user name You may use. If We learn We have collected or received personal information from a child under 13 without verification of parental consent, We will delete that information. If You believe We might have any information from or about a child under 13, please contact us immediately.

What if I do not agree with the Privacy Policy?

By visiting our website and voluntarily providing personal information to the website, you agree to the terms of the online Terms of Use Agreement and this Privacy Policy. However, we welcome your comments and/or suggestions on improving our website and policies. If you do not agree to these terms, or wish to limit the use of any of your personal information that we may have, you may contact us using our Contact Us page. In the case of promotions, we will occasionally ask if you consent to the forwarding of Personal Information to our promotional and advertising partners. You may confirm or decline your consent. As a function of our fulfilling certain legal requirements, we may disclose Personal Information without consent. We will retain Personal Information only as long as is required for the purposes we describe and as is required under law. Once Personal Information is no longer required (or if you have opted-out or withdrawn your consent), it is our practice that it is destroyed, deleted or made anonymous. All decisions we make involving Personal Information are based on accurate, complete and up-to-date information. We rely on you, however, to disclose all material information and to inform us of any relevant changes or corrections as they may relate to you. We encourage you to contact us as soon as possible, and we will make the appropriate reasonable corrections or amendments, upon receipt of appropriate evidence. We will protect Personal Information with appropriate safeguards and security measures. We utilize a combination of physical, administrative and electronic measures to ensure Personal Information is adequately protected on a day-to-day basis, for storage and disposal. If you send us an email message that includes Personal Information, we will use that information to respond to your inquiry. Please note that email is not necessarily secure against interception. We reserve the right to add, modify or otherwise update this Privacy Policy at any time and in our sole discretion.

Grux's Hardware Rental Agreement (“Rental Agreement”) is available to Grux Customers with an active Subscriber Agreement. This Rental Agreement is incorporated into and made a part of the agreement you accepted and/or signed which governs your use of the Grux Services.

In the event of differing terms or a conflict between the terms of the Subscriber Agreement and the Rental Agreement, the terms of the Rental Agreement will prevail. Any capitalized terms not defined herein will have the meaning ascribed to them in the Subscriber Agreement.

Rental Services
1. This Rental Agreement is for the rental of certain hardware (including all accessories provided therewith, each, a “Rental Device”) and repair/replacement of same by Grux (collectively, the “Rental Services”). Fees are charged on a recurring basis (the “Rental Fee(s)”). As a part of your recurring bill from Grux, you agree to pay the Rental Fees for all Rental Devices. The Rental Fees do not include taxes or fees, which vary by location of rental. Taxes are calculated on the full list price or Grux's cost, as required by the relevant taxing authority.
2. The Rental Fees for Rental Services will begin on the Start Date of the Initial Order Form for the Grux Services subscription and shall continue for the Initial Term and renew in accordance with the Order Form (each a “Renewal Term”). Notwithstanding the above, at any time with thirty (30) days prior written notice either party may terminate this Rental Agreement.
3. Upon any termination of the Rental Agreement or Rental Services, you agree to return the Rental Device(s) (including all accessories and materials that were originally provided with the Rental Device(s)) consistent with Grux written instructions and in accordance with Section C (i) below. If you do not return a Rental Device(s) within thirty (30) days following the termination, you will be automatically deemed to have purchased the Rental Device(s) pursuant to Section C (ii) below, no invoice need be issued, and the amount owed shall be due immediately.
4. Rental Devices Ownership; Damage and Loss. Grus is and will remain the owner of each Rental Device unless title is conveyed to you in writing following Grux's confirmation to you of its receipt of your payment in full of the purchase price for the Rental Device. You will not (i) grant any third party any right to use, possess, or control any Rental Device, (ii) rent any Rental Device to any third party, (iii) attempt to dispose of any Rental Device, (iv) grant any interest or right in a Rental Device to any third party, or (iv) assign any claims, offsets, or defenses you may have against Grux. Upon Grux's request, and to the extent permitted by applicable law, you will execute and deliver to Grux any documents or forms for protecting Grux's ownership and interest in each Rental Device.
5. You have five (5) business days upon receipt of each Rental Device to notify Grux of any damage or functional issues with a Rental Device. If you don’t provide such notice, each Rental Device is deemed to be in good working order at the time of receipt.
6. In the event that any Rental Device delivered to you is stolen, lost, damaged, or transferred to any third party, regardless of the circumstances or cause, you will immediately notify Grux in writing and pay Grux the purchase price as determined in Section C (ii), unless the event occurs in the first 12 months of the Initial Term, in which case the purchase price will be the full list price for the Rental Device.
Rental Device Usage
1. You will ensure that:
  1. each Rental Device will only be used in a careful and proper manner and in accordance with the written instructions provided with it by Grux, as may be updated by Grux or the manufacturer of the Rental Device from time to time;
  2. each Rental Device will not be defaced, modified, used or operated in any manner or for any purpose in violation of any federal, state, or local law or regulation;
  3. each Rental Device must remain within the country expressly permitted for its use by the Master Services Agreement, and may not be exported or re-exported to any other country;
  4. any regulatory or certification markers affixed to a Rental Device may not be removed, defaced, or otherwise obstructed; and
  5. each Rental Device will only be repaired subject to Grux's express written authorization and in accordance with Grux's instructions and requirements.
Return/Purchases
1. Returns
  1. All Rental Devices returned must be fully functional and must include the manuals. If the Rental Device is not fully functional, you will be obligated to pay Grux the purchase price pursuant to Section 3
  2. below, unless the return occurs in the first 12 months of the Initial Term, in which case the purchase price will be the full list price for the Rental Device. Grux may charge you a minimum restocking fee of twenty-five dollars ($25.00) USD (if you are billed in another currency, please contact Grux customer service for the fee amount applicable).
  3. You agree to pay all packaging, shipping and handling charges related to any Rental Device and related hardware returns, regardless of the reason for the return.
  4. Before returning any Rental Device or hardware that has data in its memory, you are solely responsible to transfer all files you wish to retain. Once the Rental Device and related hardware is returned, your files cannot be recovered and you release us of any liability for any lost, damaged, or destroyed files, data, or other information.
2. Purchases
  1. You may purchase a Rental Device(s) at any time following 12 months from the date you received the Rental Device(s) provided you are current on your payment of Rental Fees, as follows:

    1. 12 months - purchase price is 70% of list price;
    2. 24 months - purchase price is 60% of list price;
    3. 36 months - purchase price is 50% of list price;
    4. 48 months - purchase price is 40% of list price; and
    5. 60 months - purchase price is 30% of list price.
Warranty Disclaimer
1. EACH RENTAL DEVICE AND ANY HARDWARE RENTED OR PURCHASED IN CONNECTION WITH THIS RENTAL AGREEMENT IS PROVIDED “AS IS” AND “AS AVAILABLE” AND GRUX MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY SIMILAR WARRANTY, WHETHER SAID WARRANTY ARISES UNDER CANADIAN LAW OR ANY PROVINCE THEREOF. GRUX MAKES NO REPRESENTATIONS OR WARRANTIES THAT ANY RENTAL DEVICE WILL BE DELIVERED TO YOU BY A PARTICULAR DATE OR IS FREE OF RIGHTFUL CLAIMS OF ANY THIRD PARTY FOR INFRINGEMENT OR MISAPPROPRIATION OF INTELLECTUAL PROPERTY OR OTHER PROPRIETARY RIGHTS (INCLUDING PATENT AND TRADE SECRET RIGHTS). THE ENTIRE RISK ASSOCIATED WITH THE USE OF ANY RENTAL DEVICE SHALL BE BORNE SOLELY BY YOU.
2. SOME JURISDICTIONS DO NOT PERMIT THE DISCLAIMER OF CERTAIN IMPLIED WARRANTIES, SO CERTAIN OF THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU. TO THE EXTENT THAT GRUX CANNOT DISCLAIM ANY SUCH WARRANTY AS A MATTER OF APPLICABLE LAW, THE SCOPE AND DURATION OF SUCH WARRANTY WILL BE THE MINIMUM PERMITTED UNDER SUCH LAW.
3. To the extent permitted by Law, Grux shall pass through to Customer all warranties Grux receives in connection with the Rental Device provided by the manufacturer.
General Terms
1. You authorize us to collect any Rental Fees owed by you pursuant to the payment method as outlined in the Subscriber Agreement. This Rental Agreement is the binding obligation between the Parties, enforceable against them in accordance with its terms and the terms of the Subscriber Agreement.
2. Grux may, in its discretion, update or change the on-line version of the terms and conditions of the Rental Agreement, and the version of Rental Agreement applicable to each Rental Device is the version of this Rental Agreement then in effect on the Start Date of the Rental Service for that Rental Device.
